Agreed Upon Procedures & Financial Testing
Zenta offers Agreed Upon Procedures (AUPs) and financial testing services to support both a acquisitions and lending transactions. We will customize our procedures based our clients needs, as well as, the type of asset and transaction.
Zenta will verify the accuracy of historical operating statements by comparing them to source documents such as bank statements, financial statements, tax returns, and invoices. We reconcile rent rolls with lease abstracts to discover any discrepancies, review base rent and recovery revenue to lease abstracts and historical tenant billings. AUP can also involve the review of tenant correspondence files and billing history to identify potential credit issues. These findings are presented in a customized AUP report tailored to our clients’ requirements.
Financial Modeling (Argus®, Dyna®, Circle ®, Excel®)
Zenta has a long history of providing Financial Modeling services to the real estate industry and has work on many of the largest and most complex transactions involving all property types. We have significant experience with all of the cash flow modeling tools, as well as, spreadsheet based models.
Zenta can provide transaction and asset management support by delivering, reviewing, and auditing cash flow models in Argus®, Dyna®, and Microsoft Excel®. We also customize cash flow models using source documentation such as historical operating statements and budgets, leases, lease abstracts, rent rolls, and market leasing assumptions. Zenta provides sensitivity analyses, presentation formatting in our client’s proprietary templates and models, as well as the development of presentation rent rolls, rollover analyses, and more.
Lease Abstracting
Zenta has the largest and most experienced lease abstracting team in the industry and abstract approximately 4,000 leases per month. Our lease abstracting team has supported many of the largest transactions involving sellers, buyers and lenders.
Zenta can also create customized tracking reports to identify key clauses such as termination rights, abatements, free rent periods, exclusivity, and upcoming tenant improvement allowances. Zenta offers an easy to use, password protected tool to manage lease documents. All leases, amendments, assignments, and other related documents can be securely accessed via the Internet.
Rent Roll and Financial Audits
Zenta can reconcile rent rolls with leases or lease abstracts and document discrepancies. This can involve testing base rent and recovery revenue to leases, lease abstracts or historical tenant billings. We can also review tenant correspondence files and tenant billing documents to identify material discrepancies.
Joint Venture, Preferred Return and Promote Structures Modeling
Zenta has modeled many of the more complex joint venture and partnership models involving waterfall cash flows, preferred returns, and promote structures. These models are based on Client provided templates or Zenta can provide assistance in developing the models from scratch.
